A $12bn Food Merger Reshapes West Africa

Two of the biggest names in West African food are joining forces. Singapore's Wilmar International and Nigeria's Tropical General Investments Group have entered into definitive agreements to combine their Nigerian and Republic of Benin operating businesses into a single platform through a new 50:50 joint venture, the companies announced on June 2, 2026, according to TheCable. The combined platform would serve an addressable market of more than $12 billion across the focus categories in the two countries, according to MSME Africa.

What Is in the Deal

The venture pulls together a wide sweep of the food chain. The two firms will contribute complementary businesses and brands spanning upstream agriculture, oil palm plantations, edible oils, edible nuts, rice, culinary products, food manufacturing and nationwide distribution, according to TheCable. The combined businesses will be held by a Singapore holding company owned equally by the two partners, and completion is expected during the financial year ending December 31, 2026, subject to merger-control and other regulatory clearances, according to ofi Magazine.

Two Big Portfolios

The partners each bring deep Nigerian roots. Wilmar operates mainly through PZ Wilmar, which manages more than 26,500 hectares of oil palm plantations and runs an integrated refinery producing about 1,000 tonnes of palm oil a day under brands such as Mamador and Devon King's, according to Milling Middle East & Africa. TGI Group, a diversified conglomerate with more than four decades in Nigeria, holds subsidiaries including CHI Limited in beverages and dairy, WACOT Rice in rice processing and Golden Terra Oil in edible oils, with Fludor Benin producing edible oils across the border, the same report noted. Wilmar itself is Asia's leading agribusiness group, running over 1,000 manufacturing plants across some 50 countries, according to ofi Magazine.

Why It Matters for Food Prices

The logic behind the tie-up is squarely about supply. Wilmar Chairman Kuok Khoon Hong pointed to a combined market of more than 260 million people that sometimes runs structural deficits in both food production and distribution, according to TheCable, while TGI Group Chief Executive Rahul Savara described the venture as a long-term growth platform built to evolve with African consumers, according to Milling Middle East & Africa. Stronger local production and processing could chip away at a heavy import dependence, with Nigeria importing food products worth about $5.59 billion a year between 2021 and 2023, according to UNCTAD data cited by the same report.

The Competition Question

A deal this size still has to clear the regulators. Completion depends on merger-control and other approvals, according to Premium Times, and combining two of the region's largest players in edible oils and rice will draw scrutiny over how much pricing power a single platform should hold in staples that sit at the centre of the shopping basket.

For shoppers, the promise is efficiency, and the risk is concentration. FoodPrices Nigeria tracks verified retail prices for oils, rice and other staples across Lagos markets, and will watch whether a bigger, more integrated processor eases costs or tightens its grip on them.
